Terms & Conditions

  1. By paying a service fee and using any of our services, you accept and agree to be bound by the terms as described on this page. If you do not agree to abide by our terms and conditions, please do not pay a deposit and/or other service fees.

  2. The Bali Curator reserves the right to change these conditions from time to time as it sees fit and without giving notice. Your continued use of our services will signify your acceptance of any adjustment to these terms.

Payment

  1. The start-date of your booking will only be confirmed when we have received the related service fee / deposit.

  2. The brief, design details and / or order instructions should be provided by the client before the start-date of the project. These details should be complete and final. If any changes or additions to the brief are made after the start-date of the project, this may lead to additional charges and / or delay of the project.

  3. Payments can be done through Bank Transfer (Wise), by Credit Card or in cash in IDR (Indonesian Rupiah) in our office.

  4. Each time a payment is required, we will send out an invoice or payment summary, including payment instructions and the due date for this payment.

  5. Late payments may lead to rescheduling of the start-date and / or delays in the project.

  6. Any bank or other transaction fees for an (international) transaction shall be covered by the client.

  7. Payments are non-refundable in case of cancellation by the client.

  8. Payments to third parties, including but not limited to manufacturers, suppliers and shipping carriers, are not included in the The Bali Curator service fee.

  9. The Bali Curator will save all original invoices from third parties that are paid on your behalf until six months after the end of the project. The Bali Curator will send through the original invoices to the client if requested by the client no later than six months after the end of the project.

Order to third parties

  1. The Bali Curator is an independent agent and not an employee of any of the manufacturers. The manufacturers will not provide fringe benefits, including health insurance benefits, paid vacation or any other employee benefit, for the benefit of The Bali Curator.

  2. Bali Sewing Studio is the brand name of the textile-based products development department of The Bali Curator and works under the same management and administration.

  3. The Bali Curator will only confirm orders with third parties on your behalf, after we have received a written confirmation and needed payment from you for this order.

  4. We require 100% of the needed payment for a third party up front, before an order can be confirmed. If the third party requires less than 100% payment up front, the remaining balance will stay in our account, and will be paid to the third party upon completion of the order.

  5. We will act as contact person regarding the order for both you and the producer. If you wish to have direct contact with the producer during the project, The Bali Curator should be notified about this.

  6. Availability of materials and producers may change, and are not in direct control of The Bali Curator. Such occurrences could impact the process, timeline or the end product. If such changes occur then The Bali Curator and the client will align on the best approach and will look for alternative options that align with the original plan. If extra sampling or sourcing is needed, The Bali Curator, will be compensated accordingly for the extra work and time.

  7. In case of conflict between you and the producer or another third party involved in the project, or if you are not satisfied with any of the goods or services provided by a third party, The Bali Curator will act as a mediator, but The Bali Curator cannot be held responsible for the mistakes made by third parties.

 Shipment

  1. For airfreight we will ship the goods through our account with DHL.

  2. We will send an invoice with the estimated shipping costs, which will be covered by the client. The shipping costs that are charged up front are an estimation. The exact amount will be confirmed by DHL after the shipment is completed. If the actual shipping costs turn out to be higher than what was quoted up front, we will ask you to cover the outstanding amount.

  3. The shipping costs that are charged to the client include the shipping costs from DHL and a packing and administration fee for The Bali Curator.

  4. If you would like to have your package insured, you need to let us know before the booking of the shipment.

  5. In case of damage on the goods or delay of the shipment, The Bali Curator will ask DHL for a refund or compensation on the client’s behalf. The Bali Curator will not provide a refund to the client other than the compensation provided by DHL.

  6. For sea freight we will recommend working with our partner Bayus Cargo and we will coordinate the process for our client. If you prefer to work with another cargo company this is also possible. Please let us know the details of your preferred cargo company at least one month before your preferred shipping date.

Timeline

  1. The timeline for each project will be confirmed at the start of the project.

  2. Clients are expected to be available to answer our communication at least once a week.

  3. If we have not been able to contact our client or receive any confirmations for over three weeks, we will assume the project is finished. Any paid service fees cannot be refunded in such a case. If you would like to continue working with us at a later date, we will then charge a new service fee for the project.

  4. If there are additions to the scope of work during the project (including but not limited to the client confirmed that they will provide confirmed prototypes up front, but during the process the prototypes do still need revisions or further development), this may affect the service fee and timeline for the project.

  5. The Bali Curator will follow-up regularly to all third parties involved in the project to avoid delays in production. The Bali Curator cannot be held responsible if a third party causes a delay in production.

  6. If after finishing the Services that were booked by the client, the client wishes to continue with further Services, the timeline of the project will change accordingly. The Bali Curator will confirm the start-date of each Service upon confirmation of the booking, and the timeline will be confirmed at the start of the project.

Confidentiality 

  1. The Bali Curator will have confidential information about the client’s business (plans), which are valuable, special and unique assets of the client, and will need to be protected from improper disclosure. In consideration for the disclosure of the information, we will not at any time or in any manner either directly or indirectly, use any information from our client’s project for our own benefit or disclose or communicate in any manner any information to any third party that is not involved or potentially involved in the project, without the prior written consent of the client.

  2. The information about our client’s project will remain confidential after the collaboration between the client and The Bali Curator has ended.

  3. The Bali Curator is at all times allowed to take pictures and/or videos of the sourcing, production process and / or final products of our client’s projects for promotional activities.

Services

  1. The services and advices are provided by The Bali Curator in good faith based on information which we believe, but do not guarantee, to be accurate or complete. However, we are not responsible for errors of omissions that may occur.

  2. Information and opinions, when expressed are as of the date of the communication; historical prices and values are as of the date indicated. All of these are subject to change without notice.

  3. In case both The Bali Curator and the client agree that the client is liable to receive a refund, the refund will not exceed the amount that was paid by the client as service fee to The Bali Curator.

  4. The Bali Curator can at anytime decide to make changes to the team and allocate other employees of The Bali Curator to continue working on the client's project.

Storage  

  1. The Bali Curator can store samples, patterns and ordered items with a maximum volume of 1CBM in their office during the client’s sampling or production process.

  2. The Bali Curator will care for the client’s belongings as can reasonably be expected while client’s belongings are stored in our office, but The Bali Curator cannot be held responsible in case of loss or damage to the stored goods.

  3. Products that are not shipped or picked-up by the client max. 90 days after the completion of the project will become property of The Bali Curator.

Termination and extension  

  1. If you would like to book additional services, including but not limited to sourcing for other products than were requested up front or more services within the same process, you should apply for an extra booking by contacting us at enquiry@thebalicurator.com.

  2. The additional booking will only be confirmed when we have received the related service fee / deposit for this booking.

  3. Extension of the services requires revision of the timeline that was proposed at the start of the project.

  4. The Bali Curator will advice you about the available start-date when we have received your booking request.

  5. The Bali Curator reserves the right to refuse service to anyone without clarification.

  6. The collaboration between The Bali Curator and the client will end automatically if the client has not answered communication from The Bali Curator for over three weeks. If afterwards the client wishes to proceed with the services, he or she will need to make a new booking.

  7. During the period commencing on the start-date of the project and continuing until 18 months after the termination of the project, the client shall not directly or indirectly, personally or through others, solicit or attempt to solicit (on the client’s own behalf or on behalf of any other person or entity) the employment of any employee of The Bali Curator or any of The Bali Curator’s affiliates.

Force Majeure

  1. The Bali Curator, the client or any third parties involved in the project shall be excused from any delay or failure in performance if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, earthquakes, floods, volcanic eruptions and other acts of nature. The obligations and rights of the party so excused shall be resumed after the period of such excusable interruption.
